Terms of Service

1. Definitions
For purposes of these Terms of Service ("Terms"):
- Client: Any registered user who posts an order for parts, components, or related manufacturing services through the NCLink platform.
- Manufacturer: Any registered user who submits bids or fulfills orders for Clients. Manufacturers are independent contractors and are not employees, agents, partners, or representatives of NCLink.
- Order: A request for manufacturing services, parts, or related work created by a Client through the NCLink platform.
- Bid: A quotation, including price, lead time, and any shipping estimate, submitted by a Manufacturer in response to an Order.
- Escrow: The holding of Client funds by NCLink's third-party payment processor until such funds are released in accordance with these Terms.
- User Content: Any files, CAD models, drawings, specifications, messages, communications, reviews, or other materials uploaded, submitted, or transmitted by a user through the NCLink platform.
- Platform: The NCLink website, software, and related services provided by NCLink.
- Dispute: Any disagreement between a Client and a Manufacturer regarding the performance of an Order, including quality, conformity to specifications, delivery, or payment.
- Inspection Period: The period of time after delivery of manufactured parts during which a Client may review the Order and raise a Dispute, as defined in these Terms.
- Services: All functionality, features, and offerings provided by NCLink, including the posting of Orders, bidding, escrow, payments, communications, and dispute resolution.
2. Account Security
- User Responsibility: Each user is solely responsible for maintaining the confidentiality and security of their account credentials, including usernames, passwords, and any authentication tokens. Users are fully responsible for all activities conducted under their account, whether or not authorized by them.
- Unauthorized Access: Users must immediately notify NCLink in writing of any actual or suspected unauthorized access, use, or disclosure of their account credentials. Failure to promptly notify NCLink may limit the ability to prevent or mitigate damages.
- NCLink Disclaimer: NCLink is not liable for any loss, damage, or unauthorized transactions resulting from a user's failure to safeguard their account credentials or otherwise maintain proper account security.
- Security Measures: NCLink reserves the right, but is not obligated, to implement multi-factor authentication, session monitoring, or other security measures. Users agree to cooperate with such measures as a condition of continued access to the platform.
3. Data Retention and Deletion
- Retention of Records: NCLink retains Order data, communications, transaction records, and related information for as long as reasonably necessary to: (a) operate and provide the Platform and Services, (b) resolve disputes, (c) comply with applicable law and regulatory obligations, (d) prevent fraud or abuse, and (e) enforce these Terms.
- Deletion Upon Termination: Upon termination or deactivation of a user account, NCLink may permanently delete, anonymize, or restrict access to user data. Certain categories of information—including payment records, tax documents, dispute histories, and compliance-related logs—may be retained beyond account termination to the extent required or permitted by law, for audit, fraud prevention, or legitimate business purposes.
- No Guarantee of Recovery: Deleted data cannot be recovered. Users are solely responsible for maintaining their own copies or backups of any files, drawings, or communications uploaded to the Platform.
- Legal Holds: NCLink may suspend deletion of data where it believes retention is necessary in connection with an ongoing dispute, regulatory investigation, or legal obligation.
4. Taxes
- User Responsibility: Each Client and Manufacturer is solely responsible for determining, collecting, reporting, and remitting any and all taxes, duties, levies, or similar governmental assessments—including sales, use, value-added (VAT), goods and services (GST), income, or withholding taxes—arising from their use of the Platform or from transactions conducted through NCLink.
- No Tax Advice: NCLink does not provide tax, legal, or accounting advice. Users are advised to consult their own tax advisors regarding applicable obligations.
- Collection by Stripe or Authorities: In certain jurisdictions, Stripe, card networks, or governmental authorities may collect, withhold, or remit taxes directly. Users acknowledge and agree that such amounts may be deducted from payments without further notice, and NCLink bears no responsibility for verifying or remitting such taxes on a user's behalf, unless expressly required by law.
- Indemnification: Users agree to indemnify and hold harmless NCLink from any claims, penalties, interest, or liabilities arising out of or related to their failure to comply with applicable tax obligations.
5. Third-Party Services
- Stripe Payments: All payments on the Platform are processed exclusively through Stripe, Inc. (or its affiliates). By using NCLink, users agree to be bound by Stripe's then-current terms of service, privacy policy, and all applicable policies governing the use of Stripe's services.
- NCLink Disclaimer: NCLink does not control and is not responsible for the actions, omissions, availability, security, or performance of Stripe or any other third-party service providers.
- Payment Failures: NCLink shall not be liable for any errors, delays, chargebacks, holds, reversals, or failures in payment processing caused by Stripe, card networks, banks, or other third-party service providers.
- User Authorization: By initiating a transaction on NCLink, the user authorizes Stripe to charge, hold, and disburse funds in accordance with these Terms and Stripe's policies.
6. User Representations and Warranties
By accessing or using the Platform, each user represents, warrants, and covenants that:
- Authority and Capacity: They are at least eighteen (18) years of age and legally capable of entering into binding contracts. If using the Platform on behalf of a business entity, they have full authority to bind such entity.
- Rights in Content: They have all rights, licenses, and permissions necessary to upload, transmit, and share any User Content submitted through the Platform.
- No Infringement: Their use of the Platform and submission of User Content will not infringe, misappropriate, or otherwise violate the intellectual property, privacy, or other rights of any third party.
- Compliance with Law: They will comply with all applicable laws and regulations, including without limitation export control, ITAR, EAR, sanctions, embargoes, and other trade compliance laws.
- Prohibited Content: They will not upload or transmit any User Content that contains viruses, malware, malicious code, or other harmful or disruptive elements.
- Accuracy of Information: All information provided to NCLink, including account registration details, payment information, bids, and specifications, will be truthful, accurate, and complete.
7. Intellectual Property Complaints
- Respect for Rights: NCLink respects the intellectual property rights of others and expects all users to do the same.
- Notice of Infringement: If you believe that any content made available on the Platform infringes your copyright, trademark, or other intellectual property rights, you may submit a written notice to NCLink at complaints@nclink.org. Your notice must comply with the requirements of the Digital Millennium Copyright Act ("DMCA") and include sufficient detail to allow NCLink to identify and locate the allegedly infringing content.
- Response to Notices: Upon receipt of a proper notice, NCLink may remove or disable access to the allegedly infringing content and may, where appropriate, suspend or terminate the accounts of repeat infringers.
- Counter-Notices: Users whose content is removed pursuant to a DMCA notice may submit a valid counter-notice. NCLink will process such counter-notices in accordance with the DMCA.
- Reservation of Rights: NCLink reserves the right to remove any content that it believes, in its sole discretion, may infringe the rights of others, even absent a formal complaint.
8. Survival
The following provisions shall survive the expiration, suspension, or termination of these Terms, regardless of the reason for termination, and shall remain in full force and effect:
- Intellectual Property & Confidentiality
- Indemnification
- Limitation of Liability
- Dispute Resolution, Arbitration, and Governing Law
- Taxes
- Account Suspension and Termination (with respect to effects of termination)
- Payment Obligations (including fees, chargebacks, and indemnities)
- Any other obligations which, by their nature, are intended to survive
9. Entire Agreement & Assignment
- Entire Agreement: These Terms, together with NCLink's Privacy Policy and any other legal notices or policies incorporated by reference, constitute the entire agreement between you and NCLink regarding the use of the Platform and Services. They supersede all prior or contemporaneous understandings, communications, or agreements, whether written or oral, relating to the subject matter hereof.
- No Reliance: Users acknowledge that they have not relied upon any representations, promises, or warranties not expressly set forth in these Terms.
- Assignment by Users: Users may not assign, delegate, or transfer their rights or obligations under these Terms, whether by operation of law or otherwise, without NCLink's prior written consent. Any attempted assignment in violation of this provision shall be null and void.
- Assignment by NCLink: NCLink may assign, delegate, or transfer any of its rights or obligations under these Terms, in whole or in part, without restriction or notice to users.
10. Payment & Escrow and Chargebacks
- Card Payments Only: All payments on the Platform are processed exclusively through Stripe using credit or debit card transactions. By initiating any payment, you agree to be bound by Stripe's terms and conditions in effect at the time of the transaction.
- Platform Fees: NCLink charges service fees for the use of its Platform and Services. All such fees are non-refundable, except where otherwise required by law. NCLink reserves the right to modify its fee structure at any time by providing reasonable advance notice through the Platform or by email. Any changes will apply only to future transactions.
- Bid Acceptance and Initial Payment: When a Client accepts a Manufacturer's bid, the Client will be shown a final checkout price, which includes:
- The Manufacturer's quoted bid,
- NCLink's platform service fee, and
- Stripe's payment processing fee.
The Client authorizes Stripe to charge the full final price, which will be held in escrow in NCLink's Stripe account until released in accordance with these Terms. - Shipping Payment: Upon completion of production, the Manufacturer must provide a shipping quote. The Client is responsible for paying the quoted shipping cost plus applicable Stripe fees. Upon successful payment, shipping funds are released directly to the Manufacturer's Stripe account.
- Escrow & Release of Funds: Funds for accepted bids are collected from the Client at checkout and held in escrow. Funds are released to the Manufacturer only when:
- The Client has received the order and the Inspection Period expires without dispute,
- The Client expressly approves release, or
- A dispute is resolved in the Manufacturer's favor.
- Disputes and Refunds: If the Client raises a dispute within the Inspection Period, the maximum refundable amount is limited to the Manufacturer's original bid. Platform fees, Stripe fees, and shipping payments are non-refundable, except as required by applicable law. All disputes must be handled exclusively through NCLink's internal dispute resolution process. Both parties must use the "Propose Refund" function for any negotiated resolution. NCLink's administrative review of proposed refunds is final and binding within the Platform.
- Chargebacks & Reversals: Cardholders may dispute charges with their bank or card network within applicable timeframes. A chargeback may occur even after funds are released to the Manufacturer.
- If a chargeback arises from the Manufacturer's performance (e.g., non-delivery, late delivery, or material non-conformity), NCLink may withhold or recover funds from the Manufacturer, including amounts already disbursed.
- If NCLink determines that the chargeback is fraudulent, abusive, or unrelated to the Manufacturer's performance, NCLink may allocate liability to the Client and recover funds accordingly.
- Both Clients and Manufacturers agree to promptly provide NCLink with evidence (such as CAD files, chat records, invoices, shipping receipts, or delivery confirmations) to assist in contesting chargebacks.
- Administrative Fees: NCLink may deduct any chargeback fees, penalties, or administrative costs imposed by Stripe or card networks from the responsible party's funds or future payouts.
- Final Authority: NCLink reserves the right, in its sole discretion, to make the final determination in any dispute, refund, or chargeback, and to release, refund, or withhold funds accordingly. Such determinations are binding within the Platform.
11. Liability Limitations
- Platform Role: NCLink operates solely as a neutral marketplace that connects Clients and Manufacturers and provides tools for communication, file exchange, bidding, payments, and dispute resolution. NCLink is not a party to any contract between Clients and Manufacturers and does not guarantee the quality, safety, legality, accuracy, or timely delivery of any parts, drawings, services, or other deliverables.
- Client and Manufacturer Responsibility:
- Clients are solely responsible for providing accurate and complete specifications, drawings, and requirements for each Order.
- Manufacturers are solely responsible for fulfilling accepted Orders in accordance with their bids, stated lead times, and any agreed specifications.
- NCLink shall not be liable for any losses, damages, or claims resulting from user errors, inaccurate information, miscommunications, production defects, shipping delays, or other issues arising directly between Clients and Manufacturers.
- Disclaimer of Warranties: THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NCLINK EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
- Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, NCLINK'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR SERVICES SHALL NOT EXCEED THE GREATER OF:
- THE TOTAL PLATFORM FEES PAID BY THE USER TO NCLINK FOR THE TRANSACTION AT ISSUE; OR
- ONE HUNDRED U.S. DOLLARS (USD $100).
IN NO EVENT SHALL NCLINK'S LIABILITY EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT FOR THE ORDER GIVING RISE TO THE CLAIM. - Exclusion of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, NCLINK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- Shipping and Risk of Loss: All shipments are arranged directly between the Client and the Manufacturer. Risk of loss or damage to parts transfers from the Manufacturer to the Client upon delivery to the shipping carrier. NCLink assumes no responsibility for delays, loss, or damage occurring during shipping.
- Force Majeure: NCLink shall not be liable for any delay or failure to perform resulting from events or circumstances beyond its reasonable control, including but not limited to natural disasters, labor disputes, acts of war, terrorism, governmental actions, power or internet outages, or failures of hosting or third-party service providers.
12. Indemnification
- User Obligations: Each user agrees to defend, indemnify, and hold harmless NCLink, its affiliates, officers, directors, employees, contractors, successors, and assigns (collectively, the "NCLink Parties") from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- The user's access to or use of the Platform or Services;
- Any User Content submitted, uploaded, or transmitted by the user, including claims of infringement, misappropriation, or violation of third-party rights;
- Any dispute, transaction, or interaction between a Client and a Manufacturer;
- The user's violation of these Terms or of any applicable law, regulation, or order; or
- The user's negligence, willful misconduct, fraud, or misrepresentation.
- Procedure: NCLink reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification. Users agree to cooperate fully with NCLink's defense of such claims.
- Survival: The obligations set forth in this section shall survive termination of these Terms and the user's use of the Platform.
13. Manufacturer & Client Responsibilities
- User Eligibility: Users must be at least eighteen (18) years of age and legally capable of entering into binding contracts. By creating an account, each user represents and warrants that they meet these requirements. NCLink may restrict, suspend, or terminate access by any user who does not meet eligibility standards.
- Client Responsibilities:
- Accuracy of Information: Clients must provide complete, accurate, and detailed drawings, specifications, and requirements for each Order.
- Prohibited Content: Clients must not upload files or data containing export-controlled information (including ITAR or EAR-controlled data), classified or government-sensitive information, or any other restricted materials.
- Payment Obligations: Clients are responsible for reviewing Manufacturer bids carefully before acceptance and for paying all applicable charges, including bid amounts, shipping costs, platform fees, and Stripe fees.
- Good Faith: Clients must engage in good faith with Manufacturers and NCLink's dispute resolution process.
- Manufacturer Responsibilities:
- Performance of Orders: Manufacturers must deliver parts that materially conform to the accepted bid and provided specifications.
- Status Updates: Manufacturers must provide timely and accurate updates regarding production status and shipping costs.
- Shipping Estimates: Manufacturers must provide a good-faith shipping estimate at the time of bidding. If the final shipping cost significantly exceeds the estimate, NCLink may, in its sole discretion, require the Manufacturer to absorb part of the difference or impose other measures to ensure fairness.
- Production Timelines: Manufacturers must quote realistic lead times and arrange prompt shipment once the Client has paid the quoted shipping cost.
- Compliance: Manufacturers must comply with all applicable laws, including export controls, and must not misuse Client Content outside the scope of fulfilling accepted Orders.
- Shared Responsibilities:
- Use of Platform Communications: All order-related communications, disputes, and refund proposals must occur exclusively within NCLink's internal chat system.
- On-Platform Transactions: All negotiations, communications, and payments must remain on NCLink. NCLink shall have no responsibility, liability, or obligation for any order, transaction, or dispute that arises in whole or in part from communications or payments conducted outside of the Platform.
- Good Faith Resolution: Clients and Manufacturers must make reasonable efforts to resolve disagreements in good faith through NCLink's established dispute resolution process.
- Prohibited Conduct:
- Artificially underbid or misrepresent capabilities;
- Engage in harassment, fraud, or bad-faith conduct;
- Circumvent NCLink's payment system by arranging off-platform payments or work;
- Upload malicious code, spam, or unlawful content;
- Use the Platform for unlawful, fraudulent, or misleading purposes.
- NCLink's Enforcement Rights: NCLink reserves the right, in its sole discretion, to suspend or terminate accounts for violations of these responsibilities, to withhold funds, restrict access, or impose additional penalties against repeat or serious offenders.
14. Intellectual Property & Confidentiality
- Ownership of Client Content:
- Clients retain full ownership of all drawings, CAD files, specifications, and related materials ("Client Content") uploaded to the Platform.
- By uploading Client Content, Clients grant NCLink and participating Manufacturers a limited, non-exclusive, revocable license to use, display, and download such files solely for the purpose of quoting, manufacturing, and delivering the requested parts.
- Processing and Storage of Files:
- When a CAD file is uploaded, NCLink automatically processes it to generate a 3D preview (including STL conversion and preview images).
- Temporary processing occurs on NCLink's secure servers, and preview files are stored on AWS S3 and delivered via CloudFront. These files are not permanently retained in NCLink's database unless the Client submits an Order.
- If an Order is created, all uploaded files, converted STL files, and preview images will be securely stored and made accessible to registered Manufacturers for quoting and fulfillment.
- Access by Manufacturers:
- Once an Order is posted, registered Manufacturers may (a) view the 3D model through NCLink's viewer and (b) download the uploaded files solely for review and quoting.
- Manufacturers are granted access strictly for the purpose of evaluating and fulfilling Orders and may not use Client Content for any other purpose.
- Confidentiality:
- Users must treat all Client Content as confidential and may not disclose, share, or use such content outside the scope of the Platform, except as necessary to complete an accepted Order.
- NCLink cannot guarantee confidentiality of Client Content and disclaims liability for misuse by other users. NCLink's responsibility is limited to enforcing its policies by suspending, terminating, or restricting accounts that misuse Client Content.
- Prohibited Content -- Export Controlled & Sensitive Information:
- Clients are strictly prohibited from uploading or sharing:
- Content subject to ITAR, EAR, or other export control laws;
- Classified, government-sensitive, or otherwise restricted information;
- Trade secrets or proprietary information the Client is not authorized to disclose.
- NCLink may immediately suspend or terminate any account in violation of this policy.
- Post-Order Display:
- After an Order is completed, only the preview image (not the CAD file or STL) may be displayed on the Manufacturer's profile as part of job history.
- If a Client leaves a review or rating, such content may also be displayed alongside the job preview.
- Intellectual Property of Finished Parts:
- Unless otherwise agreed in writing between Client and Manufacturer, all intellectual property rights in the underlying design remain with the Client.
- Manufacturers may not reproduce, sell, or otherwise use designs provided by Clients for any purpose other than fulfilling the accepted order.
15. Account Suspension and Termination
- Grounds for Suspension or Termination:
- NCLink may suspend, restrict, or permanently terminate any account, in whole or in part, at its sole discretion and without liability, for reasons including but not limited to:
- Misuse of the Platform or violation of these Terms;
- Fraudulent, deceptive, or anti-competitive practices;
- Uploading prohibited, unlawful, or export-controlled content;
- Failure to make required payments, or repeated payment disputes;
- Attempts to circumvent NCLink's escrow or payment system;
- Uploading or transmitting malware, spam, or malicious code;
- Reverse engineering, scraping, or interfering with NCLink's systems;
- Harassment, abusive conduct, or other unlawful activity;
- Compliance with applicable law, regulation, legal order, or security requirement.
- Effect of Suspension or Termination:
- Access to Orders, files, communications, and funds may be restricted or revoked;
- Funds held in escrow may be released, refunded, or withheld depending on the circumstances, including suspected fraud, legal violations, or unresolved disputes;
- If termination occurs during an active Order, NCLink will determine in its sole discretion whether funds are refunded to the Client, released to the Manufacturer, or held pending dispute resolution;
- NCLink may retain account information, files, and communications as required by law, regulation, fraud prevention, or dispute resolution;
- Termination may result in forfeiture of funds and permanent loss of account access.
- No Liability: NCLink shall not be liable to any user or third party for suspension or termination of an account, withholding or forfeiture of funds consistent with these Terms, or any resulting damages, losses, or costs.
16. Governing Law, Arbitration, and Jurisdiction
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States of America, without regard to conflict-of-law principles.
- Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any transaction conducted through NCLink shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, as modified by this Agreement, and governed by the Federal Arbitration Act ("FAA").
- Venue: Unless otherwise agreed by the parties, arbitration shall take place in Indiana. Proceedings may be conducted virtually or telephonically at the election of either party.
- Small Claims Court Option: Either party may elect to bring an individual claim in small claims court if the claim qualifies.
- Costs and Fees: Each party shall bear its own legal fees and costs. NCLink shall cover AAA administrative fees beyond the first two hundred dollars (USD $200) of user-paid filing costs. The arbitrator may award reasonable attorneys' fees and costs to the prevailing party if the claim is found to be frivolous or brought in bad faith.
- Confidentiality: All arbitration proceedings, evidence, and awards shall remain confidential except where disclosure is required by law.
- Authority of Arbitrator: The arbitrator shall have exclusive authority to resolve any dispute relating to the scope, validity, or enforceability of this arbitration agreement.
- Class Action and Jury Waiver: All disputes must be brought on an individual basis. Users waive any right to participate in or bring a class action, collective action, representative action, or jury trial against NCLink.
- Residual Court Jurisdiction: Judgment on the arbitrator's award may be entered in any court of competent jurisdiction in Indiana. Notwithstanding the foregoing, NCLink may bring an action in a court of competent jurisdiction to protect its intellectual property rights, enforce a user ban, or seek injunctive relief.
- Time Limit for Claims: Any arbitration or legal claim must be initiated within one (1) year after the cause of action accrues, or it shall be permanently barred.
17. Severability and Waiver
- Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be enforced to the maximum extent permissible under applicable law, and the parties agree to substitute a valid provision that most closely reflects the original intent.
- No Waiver: NCLink's failure or delay in exercising any right, power, or remedy under these Terms shall not constitute a waiver of such right, power, or remedy. Any waiver must be in writing and signed by an authorized representative of NCLink. A waiver on one occasion shall not be deemed a waiver of any future right or of any other provision.
18. Modifications to Terms
- Right to Modify: NCLink reserves the right to update, revise, or otherwise modify these Terms at any time, in whole or in part, at its sole discretion.
- Notice of Changes: Material changes will be communicated by posting the updated Terms on the NCLink website and, where legally required or at NCLink's discretion, by providing notice via email or through the Platform.
- Effective Date: Unless otherwise stated in the notice, modifications shall take effect immediately upon posting.
- Continued Use: Continued access to or use of the Platform after the effective date of any modification constitutes acceptance of the revised Terms. If a user does not agree to the modifications, their sole remedy is to discontinue use of the Platform and close their account.
19. Privacy Policy
- Incorporation by Reference: Use of the Platform is also governed by NCLink's Privacy Policy, which is incorporated into these Terms by reference.
- Consent to Data Practices: By creating an account or using the Platform, users acknowledge and agree that NCLink may collect, use, store, process, and share personal data in accordance with its Privacy Policy, as updated from time to time.
- Policy Updates: NCLink may update its Privacy Policy periodically. Continued use of the Platform after any update constitutes acceptance of the revised Privacy Policy.
20. Community Guidelines
All users of the Platform are expected to act in a professional, lawful, and respectful manner. By using NCLink, you agree to the following:
- Respectful Conduct: Treat all Clients, Manufacturers, and NCLink staff with courtesy and respect. Harassment, abuse, threats, discriminatory remarks, or hate speech are strictly prohibited.
- Professional Communications: Provide clear, constructive, and professional feedback in all communications and reviews.
- On-Platform Transactions: All project-related communications, negotiations, and payments must remain on NCLink. Any attempt to circumvent NCLink's systems is a violation of these Terms. NCLink shall have no responsibility, liability, or obligation for any order, transaction, or dispute that arises in whole or in part from communications or payments conducted outside of the Platform.
- Prohibited Content: Do not upload, share, or transmit content that is fraudulent, misleading, defamatory, obscene, offensive, or otherwise unlawful.
- Integrity of Use: Do not manipulate or interfere with the Platform, including attempts to artificially inflate ratings, underbid to eliminate competitors, or misrepresent capabilities.
- Compliance with Law: Do not use NCLink for unlawful activities, including export control violations, fraudulent transactions, or unauthorized sharing of restricted information.
- Enforcement: NCLink reserves the right, in its sole discretion, to remove content, suspend or terminate accounts, withhold funds, or impose other penalties for violations of these guidelines.
21. Review & Rating Policy
- Client Reviews: After completion of an Order, Clients may leave a review and rating of the Manufacturer. Reviews must be based on the actual transaction and reflect truthful, accurate, and relevant feedback.
- Prohibited Content: Reviews must not contain fraudulent, defamatory, obscene, abusive, misleading, or otherwise unlawful content.
- NCLink's Rights: NCLink reserves the right, in its sole discretion, to remove, edit, or decline to publish any review that violates these Terms, the Community Guidelines, or applicable law.
- Ownership and License: By submitting a review, users grant NCLink a perpetual, worldwide, non-exclusive, royalty-free license to use, display, reproduce, publish, and distribute the review (including any associated rating) in connection with the Platform and Services. Reviews may remain visible even after account termination.
- Disclaimer: Reviews reflect the opinions of individual users and do not represent the views, endorsements, or opinions of NCLink. NCLink does not verify the accuracy of reviews and is not responsible for reliance placed upon them.

- Support Requests: Users may contact NCLink for questions, technical issues, or disputes by email at [insert your support email address].
- Response Times: NCLink will use commercially reasonable efforts to respond to inquiries within five (5) business days. Some matters, including disputes between Clients and Manufacturers, may require additional time for investigation and resolution.
- No Guarantee: NCLink does not guarantee resolution of every issue to a user's satisfaction and shall not be liable for delays, omissions, or outcomes of support efforts.
